1. Overview

KYRO Clipping ("KYRO", "we", "us") is a music creator campaign platform operated by Project A&R Pty Ltd, registered in New South Wales, Australia. These Terms of Service govern your use of KYRO's platform, services, website, Discord community, and Whop membership.

By accessing or using KYRO's services in any capacity — as a client (artist, label, or manager) or as a clipper (content creator) — you agree to these terms in full. If you do not agree, you must not use our services.

You must be at least 18 years of age to use KYRO's services. By using the platform you confirm you have the legal capacity to enter into a binding agreement.

Clients engage KYRO for creator campaign services. By submitting a campaign brief and confirming payment, you agree to the following:

6. Payments

All campaign payments from clients must be received prior to campaign activation unless otherwise agreed in writing. KYRO's payment terms for campaigns are outlined in the individual campaign scope documents provided to each client.

Clipper earnings are paid out via the Whop platform according to the schedule outlined in the active Whop membership. KYRO is not responsible for delays caused by third-party payment processors.

7. Intellectual Property

KYRO does not claim ownership of any music, artwork, or creative assets submitted by clients. Clients retain all rights to their content.

Clippers grant KYRO a non-exclusive right to reference their posted content for reporting and marketing purposes (e.g. campaign case studies), unless they opt out in writing.

The KYRO brand, logo, website content, and platform materials are owned by Project A&R Pty Ltd and may not be reproduced without written permission.

To the maximum extent permitted by Australian law, Project A&R Pty Ltd, its directors, employees, and contractors shall not be liable for any indirect, incidental, or consequential damages arising from use of KYRO's services.

KYRO's total liability to any client or clipper shall not exceed the total fees paid by that party in the three (3) months preceding the claim.

10. Governing Law

These terms are governed by the laws of New South Wales, Australia. Any disputes arising from these terms or KYRO's services shall be subject to the exclusive jurisdiction of the courts of New South Wales.

11. Changes to These Terms

KYRO reserves the right to update these Terms of Service at any time. Updated terms will be posted to this page with a revised date. Continued use of KYRO's services following an update constitutes acceptance of the revised terms.
