Terms of Service

1. Overview

KYRO Clipping ("KYRO", "we", "us") is a music creator campaign platform operated by Project A&R Pty Ltd, registered in New South Wales, Australia. These Terms of Service govern your use of KYRO's platform, services, website, Discord community, and Whop membership.

By accessing or using KYRO's services in any capacity — as a client (artist, label, or manager) or as a clipper (content creator) — you agree to these terms in full. If you do not agree, you must not use our services.

2. Definitions

• Client — an artist, label, manager, or other party who engages KYRO to run a clip campaign.
• Clipper — a content creator who is a member of KYRO's network and who posts content as part of campaigns.
• Campaign — a defined brief of content to be distributed by clippers on behalf of a client.
• Platform — KYRO's website, Discord server, Whop membership, and any associated tools or dashboards.

3. Eligibility

You must be at least 18 years of age to use KYRO's services. By using the platform you confirm you have the legal capacity to enter into a binding agreement.

4. For Clients

Clients engage KYRO for creator campaign services. By submitting a campaign brief and confirming payment, you agree to the following:

• You hold all necessary rights to the music, artwork, and assets submitted for the campaign.
• You will not submit content that is defamatory, illegal, or in breach of any third-party intellectual property rights.
• Campaign fees are non-refundable once clippers have been briefed and campaigns are activated.
• KYRO does not guarantee specific view counts, stream numbers, or chart placements. Reporting is provided in good faith based on platform data.
• Client campaign data, briefs, and reporting will be kept confidential and not shared with third parties without consent.

5. For Clippers

By joining the KYRO clipper network via Discord or Whop, you agree to the following:

• You will post content only on your own genuine, personal social media accounts.
• You will not use bots, automation tools, or any artificial means to inflate views or engagement on posted content.
• You will not share campaign briefs, unreleased music, or internal KYRO information outside of the network.
• Payments are processed based on validated view performance. KYRO reserves the right to withhold payment where fraudulent or artificial engagement is detected.
• KYRO may remove any clipper from the network at its discretion for breach of these terms, poor content quality, or conduct unbecoming of the community.
• Clippers are independent contractors, not employees of KYRO or Project A&R Pty Ltd.

6. Payments

All campaign payments from clients must be received prior to campaign activation unless otherwise agreed in writing. KYRO's payment terms for campaigns are outlined in the individual campaign scope documents provided to each client.

Clipper earnings are paid out via the Whop platform according to the schedule outlined in the active Whop membership. KYRO is not responsible for delays caused by third-party payment processors.

7. Intellectual Property

KYRO does not claim ownership of any music, artwork, or creative assets submitted by clients. Clients retain all rights to their content.

Clippers grant KYRO a non-exclusive right to reference their posted content for reporting and marketing purposes (e.g. campaign case studies), unless they opt out in writing.

The KYRO brand, logo, website content, and platform materials are owned by Project A&R Pty Ltd and may not be reproduced without written permission.

8. Prohibited Conduct

The following are strictly prohibited for all users of the KYRO platform:

• Using the platform for any unlawful purpose or in violation of any applicable laws
• Misrepresenting your identity, account ownership, or social media metrics
• Sharing confidential campaign information, unreleased music, or artist data
• Engaging in harassment, discrimination, or abusive conduct within the KYRO community
• Attempting to circumvent KYRO's processes by directly soliciting or contracting artists outside the platform

9. Limitation of Liability

To the maximum extent permitted by Australian law, Project A&R Pty Ltd, its directors, employees, and contractors shall not be liable for any indirect, incidental, or consequential damages arising from use of KYRO's services.

KYRO's total liability to any client or clipper shall not exceed the total fees paid by that party in the three (3) months preceding the claim.

10. Governing Law

These terms are governed by the laws of New South Wales, Australia. Any disputes arising from these terms or KYRO's services shall be subject to the exclusive jurisdiction of the courts of New South Wales.

11. Changes to These Terms

KYRO reserves the right to update these Terms of Service at any time. Updated terms will be posted to this page with a revised date. Continued use of KYRO's services following an update constitutes acceptance of the revised terms.
